This Agreement Made the 26th Day of April, 2004. Between: Sierra Minerals and Mining, Inc. ("Sierra") And: Minera Rio Tinto S.A. De C.V. ("Mrt") 1. Interpretation 1.1 in This Agreement the Following Words, Phrases and Expressions Shall Have the Following Meanings: (A) "Accounting Procedure" Means the Procedure Attached to This Agreement as Appendix I. (B) "Affiliate" Shall Have the Meaning Attributed to It in the Canada Business Corporations Act, as Amended. (C) "Assets" Means All Tangible and Intangible Goods, Chattels, Improvements or Other Items Including, Without Limitation, Land, Buildings, and Equipment but Excluding the Property, Acquired for or Made to the Property Under This Agreement in Connection With the Mining Operations. (D) "Budget" Means a Detailed Estimate of All Costs to Be Incurred by the Participants With Respect to a Program (And a Schedule of Cash Advances to Be Made by the Participants). (E) "Completion Date" Means the Date Determined by the Management Committee on Which It Is Demonstrated to the Satisfaction of the Management Committee That the Preparing and Equipping of the Mine Is Complete and Is the Date on Which Commercial Production Commences. (F) "Construction" Means Every Kind of Work Carried Out During the Construction Period by the Operator in Accordance With the Feasibility Report and Production Notice Related Thereto, as Approved by the Management Committee. (G) "Construction Period" Means, Unless the Production Notice Is Subsequently Withdrawn, the Period Beginning on the Date a Production Notice Is Given and Ending on the Completion Date
