This Management Agreement (This “Agreement”) Is Dated as of the 2nd Day of November, 2016, by and Between NYMT Loan Financing, LLC, a Delaware Limited Liability Company (The “Company”), and Headlands Asset Management, LLC, a California Limited Liability Company (The “Manager”). Whereas, the Company Is a Subsidiary of New York Mortgage Trust, a Maryland Corporation (“NYMT”), That Maintains Its Principal Place of Business in California and Specializes in Acquiring, Owning and Managing Various Mortgage Related and Financial Assets; and Whereas, the Company Desires to Retain the Manager to Provide Investment Management Services for the Company in the Manner and on the Terms Set Forth Herein and the Manager Wishes to Be Retained to Provide Such Services.
