Whereas, on April 11, 2010 Plaintiff Filed a Summons and Complaint Dated April 10, 2010, With the United States District Court for the Southern District of New York; and Whereas, the Parties Desire to Settle and Resolve the Matters Set Forth in the Complaint and to Avoid the Expense and Inconvenience of Continued Litigation; Now, Therefore, in Consideration of the Mutual Covenants and Promises Contained Herein, and Other Good and Valuable Consideration, Receipt Whereof Is Hereby Acknowledged, the Parties Agree as Follows: 1. the Foregoing Recitals Are Hereby Incorporated Into This Agreement as Though Fully Set Forth at Length. 2.
