Section 1. Place of Meetings. Special and Annual Meetings of Stockholders Shall Be Held at the Principal Office of the Corporation or at Such Other Place Within or Without the State of New York as Fixed by the Board of Directors and Set Forth in the Notice of the Meeting. Section 2. Annual Meetings. the Annual Meeting of Stockholders Shall Be Held for the Election of Directors and the Transaction of Such Other Business as Properly May Come Before It on the Second Tuesday of October of Each Year or Any Such Other Day as the Board of Directors May Agree Upon. Section 3. Special Meetings. Unless Otherwise Prescribed by Law or by the Articles of Incorporation, Special Meetings of Stockholders, for Any Purpose or Purposes, May Be Called by Either (I) the Chairman, if There Be One, or (II) Any Chief Executive Officer, (III) the President, if Any, or (IV) the Secretary, and in Addition Shall Be Called by Any Such Officer at the Request in Writing of a Majority of the Board of Directors. Such Request Shall State the Purpose or Purposes of the Proposed Meeting. Special Meetings May Not Be Called by Any Other Person or Persons. Written Notice of a Special Meeting Stating the Place, Date and Hour of the Meeting and the Purpose or Purposes for Which the Meeting Is Called Shall Be Given Not Less Than Ten Nor More Than Sixty Days Before the Date of the Meeting to Each Stockholder Entitled to Vote at Such Meeting. No Business Other Than That Specified in the Notice of the Meeting Shall Be Transacted at Any Meeting of Stockholders Except With the Unanimous Consent of All Stockholders Entitled to Notice Thereof
