Whereas, the Company, in Order to Benefit From the Continuity and Predictability of Executive’s Services, Wishes to Supersede the Previous Employment Agreement and Enter Into This New Employment Agreement Pursuant to Which the Executive Will Continue to Be Employed as Vice President, Secretary and Treasurer of the Company; Whereas, the Executive Is Desirous of Continuing Employment With the Company and Is Willing to Accept Such Employment for the Inducements and Upon the Terms and Conditions Contained Herein; and Whereas, the Company Has Bargained for a Covenant by the Employee Not to Compete With the Company’s Business.
