(Laser) a Canadian Corporation and the Chairman of Light Management Group, Inc. (Light) a Nevada Corporation, Do Hereby Certify as Follows: (1) the Constituent Corporations in the Share Exchange Agreement (The Exchange) Are Laser and Light.
