This Severance Agreement (The “Agreement”) Is Made and Entered Into as of March 30, 2020, by and Between Circor International, Inc. (“Circor” or “Company”) and Abhishek Khandewal (The “Executive”). Whereas, Circor Presently Employs the Executive in Which Capacity the Executive Serves as Chief Financial Officer and as an Officer and/or Director of Other Direct and Indirect Subsidiaries of the Company; and Whereas, the Company Desires to Provide Severance Compensation to the Executive Upon the Occurrence of Certain Events; and Whereas, in Exchange for the Severance Compensation Provided for Under This Agreement, Executive Agrees to Certain Non-Competition and Non-Solicitation Covenants as Set Forth Herein, Now, Therefore, in Consideration of the Foregoing and the Mutual Promises of the Parties Herein Contained, and for Other Good and Valuable Consideration, the Receipt and Sufficiency of Which Are Hereby Acknowledged, the Company and the Executive Hereby Covenant and Agree With Each Other as Follows: 1.
